terms & conditions of WadProg

All estimates/quotes are based on our understanding of your requirements and according to the given time-frame. Any changes to efficiency, including micro-improvements, may incur additional costs accordingly. Please ensure and clarify our understanding in a face-to-face meeting.

By accepting the quote, you agree to and accept the terms and conditions of the WadProg Company. Acceptance can be verbal, by email, payment of initiation, signing of quotes.

Customers to ensure that we have included all requirements in quotes/proposals/estimates and that we fully understand their needs. Customers must provide us with clear guidelines with the required flow or specific details. When such details are not provided, we will proceed with our understanding of the requirements and quote accordingly. At a later stage, if an inconsistency arises, it can lead to additional costs to accommodate the changes. Thus, it is imperative that you specify every aspect of your website development and make sure that you have the right requirements.

Any complexity related to specific tasks, must be advised in advance and included in the proposal for cost purposes. We act with good faith and rely on our customers to reveal the full picture at the time of quotation. Any dispute arising out of vague requirements will not be settled by the WadProg company.

Limited man-hours are allocated for each task, including project management and digital strategist/business analyst. Minor changes may be included in the allotted hours. This will be analyzed on a case-by-case basis.

The company will make every effort to complete the project/changes within the given time frame. Reasonable delays are accepted if functions are redefined or modified.

Any delay at the end of the client, the project, and the proposed deadline may be delayed and may incur additional costs.

Any errors (programming errors) reported during or after development do not attract additional charges.

Any work again on an already completed task will attract additional charges. Additional charges will be levied on any changes made to the design after design approval.

Additional changes will be charged for any changes requested during development or after Go-Live approval. All additional works above and above the estimate are charged separately. Under no circumstances will the WadProg Company be responsible for any delays caused by the brief change of project.

We need to provide website/application content and all related content within two weeks before the project starts. Any delay can then delay the project and will incur additional charges if it goes beyond a reasonable time frame.

Our websites/applications are usually tested on PCs and include the closest versions of the following browsers: namely, Firefox, Chrome, and Safari. If you need to test on another browser, please let us know in advance.

Responsive / Multi-device compatible web pages tested on iPhone and iPad. If you need to test on another device, please discuss in advance.

WadProg Company software codes (not included in open source software) are copyrighted by WadProg Company. The Code may be assigned at an additional cost after all previous invoices have expired, provided that the Code is used only for re-use or modification for further development for the client or subsequent owners of the same legal entity. In no case will the codes be not allowed to be resold or used for duplication purposes.

Depending upon the functionalities required, there may be 3rd party components such as Third Party Payment Gateways or SSL certificates involved in building a website/application. Although the WadProg company does its best to recognize the merits of any such component, any unforeseen limitations of 3rd party components are beyond our control. Any third-party component purchase costs (such as SSL, Payment gateway, Google Adwords, Plug-in licenses etc) are not included in our quotes.

The WadProg company does not assume any responsibility for any open source products, such as WordPress, open-source carts, Joomla, etc. It is the client's responsibility to update all components and third-party software. We suggest taking regular backups so as not to be disturbed by any suggestions.

Domain registration/renewal etc. fees are not included as part of any project/proposal unless otherwise specified. If necessary, a quote for which will be submitted and approved separately by the client.

osting charges are not included in the quotes unless otherwise specified. If necessary, the WadProg company can arrange a suitable hosting solution, a quote, which will be submitted and approved separately by the client. Where customers decide to configure their own hosting, they should contact us before finalizing the type of hosting and database, as it meets the requirements of the technology used for development. Please note that we will require full require access with hosting support to test and deploy the application.

All correspondence/correspondence is usually done through emails. It is the client's responsibility to keep us updated with their respective email addresses.

For general website design and development projects we employ the following steps:

Upon quote acceptance/signoff, initiation payment is processed to start the project. As required by the project, we may hold a Scoping Workshop to discuss the requirements in detail.

Once we have brand details like logos, images, branding materials, we will have mock up for 5 to 10 working days for your review.

You can review the design and suggest improvements accordingly. Depending on your project, usually, 3 to 5 design changes can be made to a given estimate. Please refer to your allotted design and development hours for details.

Once the design is finalized and validated, we will move on to HTML development. At this stage, we usually need about 3 to 5 banner text and/or images for rotation.

Once the HTML is done, if CMS is included in your project, we will proceed to set up your website on your chosen Content Management System (CMS). Please provide all materials and copy before the development phase.

Project-Based on the time and resources allocated for your project, we will transfer as much content as possible from the old website to the new website. The rest of the content can be transferred via CMS by your designated staff. We can give you the necessary instructions to help you do this.

Once the site is ready from our end, we give it to you for further review, testing and/or uploading / changing content as needed.

Stage At this stage you need to give us a go-live date to bring the new website/project to life.

Assuming the accounts are clear, your website can be made live in 3 to 5 working days after Go-Live approval. Please note that we require full payment before transferring the website to any external servers.

Also, generally speaking, it takes a long time to move back and forth. We encourage you to provide all the necessary details at the beginning of the project, to ensure that the project team time is used efficiently on your project and you do not incur any unnecessary additional costs.

You will be updated via emails and/or telephone calls as the project demands. However, please do not hesitate to contact us when you need a project status. Also, please always keep us updated with your relevant email address/contact details.

Once the website/application is made live on the client's domain, it is their responsibility to perform regular full back-ups and update all components and third-party software.

We consider ourselves very flexible and adaptable and approach all requests with a 'can' attitude. If you need a change, please discuss it with us. Please contact us if you need more details or have any questions. We look forward to working with you on your project!

Milestone payments must be made within 5 working days of each landmark/schedule unless mutually agreed upon. The final payment must be made before the website/application/project survives.

Receipt of payment is deemed as acceptance of the quote, milestone, delivery, project and terms & conditions.

The WadProg company reserves the right to negotiate and refund the appropriate portion of the amount paid to the customer's requested service. If you cancel your order after payment, but the work has not started, we will refund 75% of the amount already paid to you. If the order is canceled after the work has started, the maximum refund or payment will be 50% of the invoice. If you are asked to cancel when more than 50% of the work has been completed, there will be no refund or adjustment. All cancellations must be received in writing and can be sent by regular mail, email or fax. Telephone requests will not be accepted upon cancellation. For minor or one-off works, payment has to be made in advance or in accordance with the terms stated in the invoice/proposal. If you require a change in the Terms, you must notify us in writing (emails accepted) within two working days of receipt of the same.

Late Fees and charges: 10% of the outstanding amount will be paid as arrears and an administrative fee of Rs.
Fixed date: This is the date on which payment is due as per the terms on the invoice/proposal
Outstanding Invoice Is: An invoice is considered to be outstanding even if the payment is due 14 days after the due date.
Collection: Invoice is paid to the client 7 days after the application of late payment fee. Failure to pay will result in the debt collector receiving the outstanding amount.

The WadProg Company will not be liable for any costs or charges associated with the recovery of the remaining amount. Any charges related to the recovery of the outstanding amounts (debt collectors, administration costs, legal fees) will be sent to the client for processing.

If you are late in making a payment or have questions regarding invoices, please contact the Accounts Manager as soon as you receive an invoice or reminder emails.

All communication/correspondence is usually done through emails. It is the client's responsibility to keep us updated with their respective email addresses.

Domain registration renewal or hosting or any payment relating to any 3rd party products or service purchased on behalf of the client must be paid in full and is non-refundable. In case of cancellation of all renewals, we must notify you at least 30 days prior to the date of renewal.

WadProg company usually builds and tests the websites/applications on our own servers or hosted domains. The website/application will be transferred to the designated 3rd party server after full payment of all invoices and arrears.

Please note that Wadprog company the right to change the terms and conditions without notice.
